Chesapeake Bay Grand Banks Owner's Association

Purpose:
The Chesapeake Bay Grand Banks Owner’s Association (CBGBOA) is organized to manage the Association of individual and corporate owners of Grand Banks yachts who enjoy boating experiences on the waters of the Chesapeake Bay and its environs. The Grand Banks name includes Heritage, Eastbay and Aleutian Series vessels. The specific nature of the organization is a non-profit owner’s association for social activities and exchange of information and ideas. The organization was founded to ensure the continuation of ownership interests by individuals who have purchased a new or previously owned Grand Banks yachts. It is intended to act as a medium for information with support from Grand Banks Yachts, Ltd. and the designated local franchised dealer. The goals of the Association are to:

• Improve the potential enjoyment and resale value of said vessels and not for pecuniary profit.
• Create opportunities for social interaction among owners, potential owners and other individuals having an appreciation for boats bearing the Grand Banks brand name.
• Foster enjoyable, safe and knowledgeable boating via cruising and rendezvous events.
• Provide a means of communicating between members for discussions related to recreational boating.
• Promote pride in ownership of Grand Banks yachts.

Membership:
Two classes of membership will be established and maintained. They are:

Member
Eligibility requirements for membership at this level:

• Ownership of a Grand Banks vessel at the time of becoming a Member.
• Payment of dues as established by the Officers.
• Each vessel will have a single vote.
• Once membership has been established, if the vessel is sold, membership may be continued at the Associate Member level if dues are paid in accordance with established policy.

Associate Member
Eligibility requirements for associate membership:

• A desire to support CBGBOA.
• Payment of dues as established by the Officers.

Associate Members will have no voting rights and will not be eligible for an office on the board. If an Associate Member becomes a Grand Banks owner, they will automatically be eligible to be come a Member, upon providing any relevant information related to boat ownership. Additional fees may be accessed to match the Member level.

Commercial organizations, that wish to support CBGBOA and receive entitlements outlined in the paragraph above, may join as an Associate Member.

Organization:
The structure of the organization consist of dues paying Members and Associate Members, Officers and Directors as defined below, standing and ad hoc committees as established by the officers and corporate sponsorship through Grand Banks Yachts, Ltd. Members in good standing will elect Officers during the annual fall rendezvous. The officers will serve for one year. The four elected Officers and their duties are defined below:

• President:
  • Directs the activities of the organization in line with the provisions in the bylaws.
  • Supervises and oversees the work of the other Officers.
  • Provides a sense of direction for the organization, which will enhance its goals.
  • Spokesperson and external liaison for the organization.
  • Schedules and runs organizational meetings
• Vice President:
  • Selects committee chairs, delegates appropriate responsibilities to committee chairs, and keeps up-to-date on committee work.
  • Assumes President's responsibilities during his/her absence.
• Treasurer:
  • Establishes and oversees the annual budget.
  • Maintains current, complete and accurate financial records.
  • Reports regularly (at least annually) on the organization's financial status.
  • Establishes and maintain checking/bank account.
  • Manages day-to-day financial transactions.
  • Records and pays bills/reimbursements.
• Secretary:
  • Records and distributes all pertinent information to members, including meeting minutes and events. This may occur via electronic means.
  • Handles organizational correspondence.
  • Maintains membership list with contact and boat specific information.
  • Oversees maintenance of organization files.
• Directors:
  • Directors provide support to the association as needed for special functions and activities.
  • The Directors are appointed by the President with the approval of at least two of the other three officers, and the Directors enjoy voting rights for those Board issues so identified by the President.
  • The term can be for either one or two years.

The four elected Officers will act as the core Board of Directors of CBGBOA, augmented by the Directors.

Organizational Communication:
Because of geographical considerations (i.e. membership throughout the mid-Atlantic region) there will be few opportunities to hold all-inclusive meetings of the membership, specific committees or the Board of Directors. Therefore, to the extent feasible, communication will be accomplished principally by electronic means (telephone and/or internet).

Where possible e-mail and the CBGBOA website (www.cbgboa.org) will be used to inform the membership of upcoming activities, solicit nominations, conduct polls, distribute newsletters and communicate other normal business of CBGBOA.

Balloting for the election of officers will take place at the annual fall rendezvous. Other issues requiring a formal vote may also be decided at this time or circulated to Members by U.S. Mail during the course of the year. A quorum at the annual meeting will be defined as 51% of the Members attending the fall rendezvous. A quorum for any other decision that may be required other than at the annual meeting will be 51% of the Members in good standing.

The U.S. Mail will be used to communicate with Members lacking access to e-mail and the Internet. The CBGBOA membership list, postal address list or e-mail list will not be given or sold to an outside organization for promotional or commercial use.

Membership Fees:
To become and remain a Member or Associate Member in good standing, payment of annual dues will be required. The amount of the dues will be set annually by the Board and announced prior to the fall Rendezvous. Members are to submit payment of their dues by May 1, of each year. Members must have paid their dues prior to submission of the annual ballot for the election of Officers for the ballot to be counted.

Origin of Organizational Name:
Use of the Grand Banks brand name in the title of the CBGBOA is herby recognized by permission of Grand Banks Yachts, Ltd. In acknowledgement of this, general membership communication, announcements of events, newsletters and other information concerning the activities of the organization will be distributed to Grand Banks Yachts, Ltd.

Amendment to Bylaws:
These Bylaws may be amended or superceded by a formal vote of the Members in good standing. Acceptance of such revisions will require approval of two-thirds of the Quorum, as defined in "Organizational Communications".

The Chesapeake Bay Grand Banks Owners' Association is a privately run club.
